Annual compliance checklist every Private Limited Company must follow

RegisterEasy Editorial Team · Updated 11 Oct 2026 · 2 min read

A practical framework for tracking recurring and event-based company duties. Requirements, exemptions and deadlines depend on the company and current law.

A useful company compliance checklist separates recurring obligations from event-triggered filings. Do not copy a universal due-date table without checking the company’s size, class, financial year, meetings, transactions, exemptions and current MCA rules.

Corporate governance and statutory records

Maintain an up-to-date record of directors, members, share allotments, registers, minutes, resolutions and the company’s registered office. Board and general meeting requirements depend on the Companies Act, rules and any applicable exemptions. Put the company’s own meeting cycle and notice requirements on the calendar.

Record significant events as they happen. A director change, share issue, registered-office move, charge, name change or other event may trigger a filing separate from the annual return.

Accounts, audit and annual return

Prepare books and financial statements for the company’s financial year. Check the audit requirement and the applicable form, attachments, member approval and filing deadline against current MCA rules. Common annual forms include financial-statement and annual-return filings, but form applicability can differ by company type and circumstances.

Do not treat an online filing as complete until the form is accepted and the acknowledgement is saved. Track resubmissions, additional fees and notices separately.

Tax and payroll obligations

Review income-tax return, tax audit, TDS, GST, payroll, provident-fund, ESI and state-level duties based on the company’s activity, turnover, employees and registrations. These obligations do not all apply to every company. Assign an owner for each applicable return and reconcile records before the due date.

Build a calendar that stays current

  1. List every registration, recurring return, meeting and event-based filing that applies to the company.
  2. Record the legal source, responsible person, internal preparation date and official deadline for each item.
  3. Review the calendar quarterly and whenever the company hires, raises capital, changes directors or begins a new activity.
  4. Verify extensions and deadline changes on MCA, GST, Income Tax and relevant state portals before relying on reminders.

Frequently asked questions

Does every private company have the same compliance calendar?

No. Duties can vary with company category, size, activity, financial events, employees, registrations and applicable exemptions.

Are annual ROC forms the only company filings?

No. Changes and transactions can create event-based filings throughout the year, in addition to recurring obligations.

Can a calendar app confirm legal deadlines?

It can remind you, but dates should be checked against current official notices and rules before filing.
