Before selecting an entity, write down what the business needs to do over the next three years. The cheapest form to create may not be the least costly form to operate, change or close.
Steps
List the owners and future participants
Identify whether there is one founder or several, how ownership will be divided, and whether employees or investors may receive equity or another economic interest.
Decide whether share-based funding is likely
If external equity, share classes or employee share plans are important, discuss a company structure and its governance with counsel. An LLP or traditional partnership uses a different ownership model.
Compare liability and authority
Review who can bind the business, personal guarantees, partner or director duties, insurance and the limits of any liability protection. Do not assume that incorporation removes every personal risk.
Estimate recurring administration
Compare accounts, audits, meeting records, annual forms, tax returns, payroll and state registrations that will apply to the actual business—not just the registration fee.
Check tax, licensing and financing needs
Ask a tax adviser how each form affects the planned income, withdrawals and investment. Check bank, customer, tender and licensing requirements before committing.
Document the decision and verify current rules
Record the reasons for choosing a structure, identify an alternative, and confirm current MCA or Registrar of Firms requirements with a qualified professional.
Frequently asked questions
Can I decide only by the number of owners?
No. Ownership count is one factor; funding, governance, liability, taxes, compliance cost and exit plans also matter.
Does registering a partnership limit partner liability?
A traditional partnership and an LLP are different legal forms. Registration of a traditional partnership does not make it an LLP.
